Governance
The company is a company with an audit and supervisory committee, composed of 8 directors (including 3 outside directors serving on the audit and supervisory committee). Risk Management
The company has established a risk management framework through its Compliance Committee, Internal Audit Office, and Sustainability Committee. In response to the unauthorized external access incident that occurred in March 2026, it is implementing recurrence prevention measures such as introducing EDR (Endpoint Detection and Response), appointing a dedicated information security officer, and reviewing its network configuration.
Shareholder Returns
The basic policy is stable dividends paid twice a year (interim and year-end). For FY2026 (ending March 2026), the annual dividend is planned at ¥10 per share (¥5 interim + ¥5 year-end), with a payout ratio of 65.5%. The same ¥10 annual dividend is planned for FY2027 (ending March 2027). A reserve for shareholder benefits is recorded, and a shareholder benefit program is in place.
Dividend Policy

For FY2026 (ending March 2026), the annual dividend is ¥10 per share (¥5 interim + ¥5 year-end), with total dividends of ¥194 million and a payout ratio of 65.5%. For FY2027 (ending March 2027), an interim dividend of ¥5, a year-end dividend of ¥5, and an annual dividend of ¥10 are planned (forecast payout ratio of 66.0%). The policy is to continue stable dividends while securing the internal reserves necessary for business development.
ESG
The company has established a Sustainability Committee chaired by the Representative Director and President, focusing on climate change risk response, ensuring human resource diversity, and human capital investment as priority issues. It is promoting the setting of targets for the ratio of female managers (Sawayaka Club: actual result of 36.1% against a target of 44.8% by the end of FY2025), the recruitment of foreign personnel, and the development of an in-house certification qualification system.
