Company with a Board of Corporate Auditors. The Board of Directors consists of 6 directors (2 of whom are outside directors), and the Board of Corporate Auditors consists of 3 auditors (2 of whom are outside auditors). An executive officer system has been introduced to separate decision-making and oversight functions from business execution functions. A voluntary Nomination Committee and Compensation Committee have been established, both of which are composed of a majority of outside officers.
Risk Management
The Company has established the "Basic Risk Management Regulations" and "Crisis Management Regulations," under which the General Affairs Department of the Administration Division and the Safety, Health and Environmental Affairs Office conduct cross-organizational risk monitoring. The Internal Audit Office periodically audits the risk management status of each department and reports to the Board of Directors, the Compliance Committee, and other bodies. Regarding climate change risk, the Company has conducted scenario analysis based on the 1.5°C and 4°C scenarios in line with TCFD recommendations, and has quantitatively assessed risks such as an approximately ¥600 million increase in costs due to the introduction of a carbon tax and an approximately ¥500 million loss risk from factory operation stoppages.
Shareholder Returns
Continuing stable dividends based on the basic policy of DOE of 4.0% or higher. Annual dividend for the current period was ¥71 (interim ¥33, year-end ¥38), with a payout ratio of 178.6% and DOE of 4.0%. Annual dividend of ¥71 (interim ¥35, year-end ¥36) is planned for the next period as well. Share buybacks of ¥2,000 million were conducted in the current period.
Dividend Policy
DOE (dividend on equity ratio) of 4.0% or higher is set as the standard for a "stable dividend." The basic policy is to pay dividends twice a year (interim and year-end), aiming to continue stable dividend payments to shareholders while pursuing strategic investments for growth and stable business operations. Annual dividend for the current period was ¥71 (interim ¥33, year-end ¥38), and the forecasted annual dividend for the next period is ¥71 (interim ¥35, year-end ¥36).
ESG
Under the long-term management vision "NETUREN VISION 2030," the company has placed SDGs at the core of its management, setting targets of a 30% reduction in CO2 emissions by FY2030 (compared to FY2013) and net-zero emissions by 2050. In terms of human capital, the company has set a target of achieving a ratio of female managers at least three times the level as of the end of March 2022 by the end of March 2029, and the rate of male employees taking childcare leave improved to 67.7% (up from 46.2% in the previous year). The company-wide Sustainability Promotion Committee (chaired by the President and Executive Officer) oversees ESG activities in coordination with the Board of Directors.
