Risk Management

The director responsible for General Affairs also serves as the officer in charge of compliance and risk management, conducting company-wide risk assessment and response based on the Internal Control Management Regulations. The Board of Directors identifies risks, formulates policies, and manages progress, recognizing as key risks the LME price and foreign exchange fluctuation risk in the Nickel Business, the volatility and hacking risk of crypto assets, and the market trend risk in the real estate market, among others.

Shareholder Returns

The basic policy is to pay dividends twice a year (interim and year-end), but the year-end dividend was withheld for the fiscal year under review due to poor business performance, resulting in effectively no dividend. Under the Articles of Incorporation, share buybacks may be flexibly implemented by resolution of the Board of Directors, but there is no record of any buybacks having been carried out.

ESG

The company has not established a dedicated sustainability organization; it addresses issues such as the environment, human resource development, and internal workplace improvement through the Board of Directors and business division meetings. Its policy is to respect human resource diversity and maintain flat organizational management, but as it has not yet secured profitability, it is currently refraining from new hiring, and has not yet reached the stage of quantifying ESG indicators and targets.
