Governance

As a company with an Audit and Supervisory Committee, the company has established a Board of Directors (7 members in total including Audit and Supervisory Committee members, of whom 3 are outside directors), and in April 2022 established a voluntary Nomination and Compensation Committee in which outside directors constitute a majority. Risk Management

Based on the Risk Management Regulations, the Company has established responsible departments for each category, including quality control, environmental pollution, natural disasters, information management, intellectual property, and industrial accidents, with the Audit Department periodically verifying and evaluating the risk management system. In the event of a serious incident, a response headquarters is established to address the situation in cooperation with lawyers and other specialists.

Shareholder Returns

Performance-linked dividend based on a target consolidated payout ratio of approximately 30%. The year-end dividend for FY2026 (ending March 2026) is ¥110 per share (annual dividend of ¥110, total ¥666 million), representing a payout ratio of 30.3%. For FY2027 (ending March 2027), a dividend of ¥112 is forecast. Share buybacks are also conducted (¥152,975 thousand during the current period).

Dividend Policy

The basic policy is to maintain stable dividends while securing internal reserves necessary for financial soundness and capital expenditure/strategic investment, paying dividends in line with performance based on a target consolidated payout ratio of approximately 30%. Core subsidiary Yamau signed the "a Net Zero Initiative Agreement" in October 2022, setting a goal of net-zero GHG emissions by 2040, and is working on low-carbon concrete manufacturing and extending product service life. On the human capital front, the company is promoting workstyle reform through group-wide joint training, enhanced recruitment, and DX initiatives, but specific diversity-related metrics have not yet been established.
