The stable cash flow from the BPO Business supports development investment in the DX Business.

Company Strengths

At the end of FY2025 (ending September 2025), the group's subscription ARR stood at ¥1,662 million, with ARPA of ¥509,166 (up 8.0% from ¥471,350 in the prior period). SaaS revenue grew 103.2% year on year, establishing a stable foundation for revenue accumulation based on a subscription-type stock model.

In FY2025 (ending September 2025), the BPO Business recorded revenue of ¥2,250 million (up 12.7% year on year) and segment profit of ¥372 million (up 49.2% year on year). Revenue from System Engineering Services (SES) grew 15.5% year on year, capturing robust demand for IT talent, and the segment profit margin reached approximately 16.5%.

Its predecessor, Knowledge Suite Co., Ltd., began offering Knowledge Suite in 2010 and has a track record of OEM supply to major telecom carriers such as KDDI. The company holds ISO/IEC 27001 certification and the Privacy Mark, and has accumulated over 15 years of SaaS operational know-how for small and medium-sized enterprises.

ENVALITH's Perspective

For Q1 of FY2026 (ending September 2026), revenue was ¥1,034 million (down 5.7% year-on-year), operating profit was ¥32 million (down 58.9% year-on-year), and quarterly loss attributable to owners of the parent was ¥0 million (-¥0.15 per share), swinging to a loss from profit of ¥41 million in the same period last year. Adjusted operating profit was also weak at ¥117 million (down 25.6% year-on-year). While selling, general and administrative expenses increased year-on-year (from ¥349 million to ¥356 million), gross profit declined, making improvement of the cost structure an urgent priority. The full-year earnings forecast is undisclosed due to the merger, making it difficult for investors to assess the outlook for performance.

Revenue in the BPO Business for Q1 of FY2026 (ending September 2026) was ¥513 million (down 9.0% year-on-year), with segment profit deteriorating sharply to ¥44 million (down 40.7% year-on-year). Despite the tailwind of increasing project scale due to IT talent shortages, revenue from System Engineering Services (SES) declined 5.2% year-on-year due to delays in project commencement. Although the company touts progress in winning high-unit-price, high-margin projects, the sharp decline in profit margin suggests issues with personnel procurement costs and utilization rates, leaving doubts about the sustainability of profitability improvement.

Delisting is scheduled for April 28, 2026 (final trading day April 27), with the merger set to take effect on May 1. Shareholders of the company will receive 0.50 shares of Headwaters Co., Ltd. for each share held. The amount of goodwill arising from the merger has not yet been determined. Operating cash flow deteriorated to -¥68 million in Q1 (compared to +¥68 million in the same period last year), and cash and cash equivalents also decreased to ¥1,073 million (down ¥289 million from the end of the previous fiscal year). Growth Strategy

Evolving into an AX support company through management integration with Headwaters, building a next-generation model fusing SaaS and AI

The next-generation SFA/CRM "Knowledge Suite+", evolved as a generative AI-native application, is being released and provided in stages starting from the first quarter of FY2026 (ending September 2026). The company aims to expand ARR by promoting cross-selling to existing customers and acquiring new customers through improved targeting accuracy.

An absorption-type merger will be carried out with Headwaters as the surviving company and the Company as the dissolving company. The merger ratio is 0.50 shares of Headwaters stock for each 1 share of the Company's stock. The integration aims to realize synergies across three axes—fusion of technology and products, integration of human resources, and strengthening of the financial base—to build a next-generation service development framework combining AI and SaaS.

The Company continues to promote withdrawal from unprofitable businesses and services with low growth potential or profitability, concentrating management resources on the domain of DX/AX support for mid-sized and small-to-medium enterprises. In the BPO Business, the Company is working to improve profitability by strengthening the recruitment and development of IT personnel to secure higher-priced, higher-margin project engagements.
