Its predecessor, Knowledge Suite Co., Ltd., began offering Knowledge Suite in 2010 and has a track record of OEM supply to major telecom carriers such as KDDI. However, in FY2025 the company fell into losses due to business transformation costs and impairment losses, posting an operating loss of ¥352 million and a net loss of ¥377 million. In Q1 of FY2026 (ending September 2026) (October–December 2025), revenue was ¥1,034 million (down 5.7% year-on-year), operating profit was ¥32 million (down 58.9% year-on-year), and quarterly profit attributable to owners of the parent was ¥0 million, showing no sign of recovery. As an external factor, while DX demand among small and medium-sized enterprises remains solid, the decline in revenue from the withdrawal of unprofitable businesses and the occurrence of merger-related costs are weighing on performance. Evolving into an AX support company through management integration with Headwaters, building a next-generation model fusing SaaS and AI
The next-generation SFA/CRM "Knowledge Suite+", evolved as a generative AI-native application, is being released and provided in stages starting from the first quarter of FY2026 (ending September 2026). The company aims to expand ARR by promoting cross-selling to existing customers and acquiring new customers through improved targeting accuracy.
An absorption-type merger will be carried out with Headwaters as the surviving company and the Company as the dissolving company. The merger ratio is 0.50 shares of Headwaters stock for each 1 share of the Company's stock. The integration aims to realize synergies across three axes—fusion of technology and products, integration of human resources, and strengthening of the financial base—to build a next-generation service development framework combining AI and SaaS.
The Company continues to promote withdrawal from unprofitable businesses and services with low growth potential or profitability, concentrating management resources on the domain of DX/AX support for mid-sized and small-to-medium enterprises. In the BPO Business, the Company is working to improve profitability by strengthening the recruitment and development of IT personnel to secure higher-priced, higher-margin project engagements.
