Governance
The company operates under a company-with-a-board-of-corporate-auditors structure (Board of Directors + Board of Corporate Auditors) as its basic governance framework and has introduced an executive officer system. As of the filing date, the Board of Directors comprises 9 directors (including 3 outside directors), and following the shareholders' meeting in June 2026, it is scheduled to transition to 10 directors (including 4 outside directors). The company has established a Nomination and Compensation Advisory Committee to ensure fairness and transparency in nominations and compensation.
Risk Management
Risk management is conducted based on the "Basic Policy on Risk Management" and the "Risk Management Regulations." The Risk Management and Compliance Committee, under the Sustainability Management Committee, carries out annual management through a PDCA cycle and conducts a company-wide risk identification exercise once every three years. In the event of an emergency, a system has been established to set up an emergency response headquarters headed by the President.

Dividend Policy
Based on the "26 Medium-Term Management Plan," the basic policy is a total shareholder return ratio of 33% or more, together with continuation of stable annual dividends of ¥80 or more per share and flexible share buybacks. The dividend of surplus for the current period is ¥80 per share (interim dividend ¥40 + year-end dividend ¥40). The interim dividend is determined by resolution of the Board of Directors, and the year-end dividend by resolution of the General Meeting of Shareholders.
ESG
The company has formulated the "Carbon Neutral Strategy 2050" aiming to achieve carbon neutrality by 2050, and is promoting the social implementation of decarbonization technologies, including the development of a CO2-capturing cement production facility (C2SP Kiln®) and the establishment of a GX Promotion Department. On the human capital front, the company achieved a 10.6% ratio of women among newly appointed managers, an 85.9% annual paid leave utilization rate, and a 100.0% regular health checkup participation rate, promoting the active participation of diverse talent and health-oriented management.
