Governance

As a company with an Audit and Supervisory Committee, the Board of Directors is composed of 7 directors (including 3 outside directors), and in addition to the regular monthly Board of Directors meetings (held 18 times a year), a monthly opinion exchange session with outside directors is held. Risk Management

The CSR Committee broadly identifies and evaluates climate-related risks and opportunities, conducting scenario analyses under two scenarios of 1.5°C and 4°C. The Crisis Management Committee is responsible for responding to emergencies, while the Audit and Internal Control Office identifies risks through routine internal audits and reports to the Board of Directors and the Audit and Supervisory Committee, forming an established framework.

Dividend per share for FY2026 (ending March 2026) is ¥81 (total dividends ¥102 million), payout ratio 161.3%, DOE 2.5%. FY2027 (ending March 2027) dividend is forecast at ¥83. A small amount of treasury stock was repurchased (¥439 thousand).

Policy is to maintain a DOE (net asset dividend ratio) of 2.5%. Dividend per share for FY2026 (ending March 2026) is a year-end dividend of ¥81 (total dividends ¥102 million, payout ratio 161.3%). FY2025 (ended March 2025) dividend was ¥78 (total dividends ¥98 million). The forecast for FY2027 (ending March 2027) is ¥83 (forecast payout ratio 36.7%). The year-end dividend is paid once annually, determined by resolution of the Board of Directors.
