In March 2024, the company transitioned to a Company with Nomination Committee, etc. The Board of Directors consists of 11 members (including 7 independent outside directors), and since January 2025, independent outside director Yoshihiko Hatanaka has served as Chairman of the Board. The Nomination, Compensation, and Audit Committees are all composed solely of independent outside directors, enhancing the independence of the oversight function.
Risk Management
Risks are identified and assessed across global and regional headquarters centered on the Global Risk Management & Compliance Committee, which deliberates on countermeasures for material risks. Utilizing the Three Lines Model (business divisions, corporate functions, and audit department), sustainability risks including cybersecurity, climate change, and DE&I are also integrated into company-wide risk management. A system has been established to appropriately report material risks and incidents to the Board of Directors.
Shareholder Returns
The annual dividend forecast for FY2026 (ending December 2026) is ¥60 per share (interim ¥30 + year-end ¥30), an increase from ¥40 in FY2025 (ending December 2025). The company will continue its long-term stable shareholder return policy targeting a DOE of 2.5% or higher. Share buybacks will be conducted flexibly.
Dividend Policy
The policy emphasizes consolidated business performance and free cash flow conditions, aiming to achieve long-term stable and continuous enhancement of shareholder returns with a target dividend on equity (DOE) attributable to owners of the parent of 2.5% or higher. Dividends are paid twice a year, as an interim dividend and a year-end dividend. The annual dividend forecast for FY2026 (ending December 2026) is ¥60 per share (interim ¥30 + year-end ¥30), an increase from the FY2025 (ending December 2025) actual of ¥40 (interim ¥20 + year-end ¥20). Share buybacks will be conducted flexibly in light of market conditions.
ESG
As part of its climate change response, the company has set SBTi-certified targets of a 46.2% reduction in Scope 1 and 2 emissions by 2030 (versus 2019) and a 55% reduction in Scope 3 emissions, and has joined RE100 and introduced internal carbon pricing. On the DE&I front, the ratio of female managers in Japan reached 43.3% (against a 2030 target of 50%), and the ratio of women in global top management reached 50.0%. The company discloses climate- and nature-related financial information based on the TCFD and TNFD frameworks, and is advancing multifaceted sustainability initiatives including human rights due diligence and the promotion of responsible procurement. It has also received high external recognition, including selection as a Nadeshiko Brand for five consecutive years and certification as an Outstanding Health & Productivity Management Organization (White 500).
