Governance
The company has a Board of Corporate Auditors. The Board of Directors consists of 9 directors (3 outside directors) and 3 corporate auditors (all outside auditors). The Board of Directors meets once a month, and all members attended at least 10 out of 12 meetings. Neither a nomination committee nor a compensation committee has been established.
Risk Management
The Management Executive Committee, Compliance Committee, and Risk Management Committee serve as mutual checks, with important matters discussed and approved by the Board of Directors. The company has established a multifaceted risk management framework covering compliance with the Security Services Act, labor management, cybersecurity (cloud migration, targeted email attack drills, cyber insurance enrollment), and heatstroke prevention measures.
Shareholder Returns
The annual dividend forecast for FY2026 (ending September 2026) is ¥37 per share (interim ¥0, year-end ¥37), maintaining the same level as the previous fiscal year. No revision has been made to earnings forecasts. The articles of incorporation stipulate that share buybacks may be flexibly implemented by resolution of the Board of Directors.
Dividend Policy

This is planned to be the same amount as the previous fiscal year's actual dividend (¥37), and there has been no revision from the most recently announced forecast.
ESG
On the environmental front, the company is promoting investment in Miyagi Prefecture ESG bonds, the provision of zero-CO₂-emission power supply vehicles, and the use of renewable energy through solar panel installation. On the social front, it has made donations and food supply contributions to children's cafeterias, held free emergency lifesaving and crime-prevention seminars, and conducted community cleanup volunteer activities. In terms of human capital, the company is working to ensure diversity through measures such as salary increases, support for obtaining qualifications, a rehiring system for retirees, and employment of people with disabilities, though numerical targets such as the ratio of female managers have not yet been set.
