Governance
Company with a Board of Corporate Auditors. The Board of Directors consists of 6 directors (including 2 outside directors), and the company has adopted an executive officer system with a one-year director term. An optional Nomination and Compensation Committee, composed of a majority of outside directors and outside corporate auditors, has been established under the Board of Directors. In connection with making Dai Nippon Toryo a consolidated subsidiary, an Independent Officers Committee has also been newly established for the purpose of protecting minority shareholders.
Risk Management
The Company has established a Risk Management Committee comprising all directors, which conducts annual risk identification, analysis, and countermeasure formulation and reports the results to the Board of Directors. Based on the Risk Management Regulations established in 2005, management risks, accident/disaster risks, and other risks are prioritized and managed according to their degree of impact multiplied by frequency of occurrence.
Shareholder Returns
No dividend continues in FY2026 (ending March 2026) (no dividend for four consecutive fiscal years). Annual dividend forecast for FY2027 (ending March 2027) is also ¥0. The articles of incorporation stipulate that dividends of surplus can be flexibly implemented by resolution of the Board of Directors. No mention of share buybacks or shareholder benefit programs.
Dividend Policy
The basic policy is to pay dividends once a year at fiscal year-end, comprehensively taking into account business performance, dividend payout ratio, and the level of internal reserves necessary for future business development. FY2026 (ending March 2026) marks the fourth consecutive fiscal year with no dividend. The annual dividend forecast for FY2027 (ending March 2027) is also ¥0. ESG
Under its corporate philosophy of "contributing to the development of society through the Paints Business," the company is working on developing environmentally conscious paints and reducing GHG emissions. For Scope 1 & 2, it achieved a 34% reduction versus the FY2013 baseline as of the end of March 2025 (74% achievement rate against the 46% target), and began Scope 3 initiatives from FY2025. The company has set a goal of carbon neutrality (net zero) by 2050. On the human capital front, it discloses a 10.3% ratio of women in management positions and an 80.0% rate of male employees taking childcare leave.
