Nippon Paint Holdings is a holding company originating from Japan's largest domestic paint manufacturer, founded in 1881. With 267 consolidated subsidiaries and 7 equity-method affiliates, it operates paint and coatings businesses across five segments: Japan, NIPSEA (Asia), DuluxGroup (Oceania and Europe), Americas, and AOC (US/Europe specialty). In addition to Automotive Coatings, General Industrial Coatings, Industrial Coatings, and Fine Chemicals, the company also handles peripheral businesses such as insulation materials, CASE, and colorants. Business Model

The company adopts an 'autonomous and decentralized management' approach, leveraging the localized production-for-local-consumption nature of the coatings market, whereby each regional partner company manages its operations autonomously. The holding company provides capital, brand, and technology, while local management undertakes product development and sales tailored to regional market characteristics. In M&A, deals are screened based on criteria of EPS contribution from the first year and ROIC exceeding WACC within three years, and following acquisition, organic growth is accelerated through group synergies. With Maximizing Shareholder Value (MSV) as its sole mission, the company aims to enhance TSR (Total Shareholder Return) through the dual pillars of EPS accumulation and PER improvement.

Company Strengths

The NIPSEA segment boasts revenue of ¥887,462 million, operating profit of ¥144,021 million, and an operating margin of 15.9%, with operations spanning China, Southeast Asia, India, Turkey, and other regions. Driven by strong sales to local automakers in China and improved raw material cost ratios, the segment achieved a 17.3% year-on-year increase in operating profit.

The AOC acquisition, completed in March 2025, established a new high-margin segment with an operating margin of 30.9%, revenue of ¥157,282 million, and operating profit of ¥48,585 million. With a light capital expenditure burden (capital expenditures of ¥5,372 million) and excellent cash generation capability, this segment boosts the overall profitability of the group.

Since 2014, the company has continuously executed large-scale acquisitions, including the full consolidation of the Wuthelam joint venture, DuluxGroup, Cromology, Alina Group in Kazakhstan, Nippon Paint India, and AOC. With a revenue base diversified across 5 segments and 5 continents, the company continues to expand its scale while mitigating region-specific risks.

ENVALITH's Perspective

In 1Q FY2026 (ending December 2026), the company achieved substantial profit growth with revenue of ¥490,278 million (up 20.8% year-on-year), operating profit of ¥70,948 million (up 42.7%), and profit for the quarter attributable to owners of the parent of ¥51,524 million (up 44.3%). The AOC segment recorded revenue of ¥48,544 million and operating profit of ¥14,341 million, becoming the main driver of the profit increase. Against the full-year earnings forecast (revenue of ¥1,920,000 million and operating profit of ¥283,000 million), the first-quarter progress rate stood at a solid 25.5% for revenue and 25.1% for operating profit, and the company's announcement of no forecast revision also demonstrates confidence in achieving the full-year targets.

As of the end of March 2026, bonds and borrowings under non-current liabilities remained at a high level of ¥1,212,133 million. Meanwhile, the company carried out share buybacks of ¥9,093 million (with purchase expenditure of ¥5,030 million) in the first quarter, and the prioritization between reducing interest-bearing debt associated with the AOC acquisition and returning capital to shareholders continues to warrant attention from a financial discipline standpoint. The ratio of equity attributable to owners of the parent improved to 45.9% (versus 44.9% at the end of the previous fiscal year), but the combined total of goodwill (¥1,503,713 million) and other intangible assets (¥627,007 million), which accounts for over 51% of the group's total assets, requires continued monitoring as an impairment risk.

In 1Q FY2026 (ending December 2026), the Americas segment secured revenue of ¥30,563 million (up 5.7% year-on-year), but operating profit remained at only ¥1,129 million with an operating margin of 3.7%, making it the least profitable segment within the group. The company has explicitly noted the impact on demand from uncertainty in the U.S. economy and the continued downturn in the housing market, and there is a risk that profitability improvement could be delayed if the deterioration of the U.S. macro environment continues as an external factor. While AOC generates high profitability in the U.S. and European markets, structural profitability improvement in the Americas coatings business remains a medium-term challenge.

Growth Strategy

Pursuing compound EPS growth through the twin engines of continued M&A under the asset-assembler model and organic growth

AOC, whose acquisition was completed in March 2025, achieved a full quarter's contribution in the first quarter of FY2026 (ending December 2026), recording revenue of ¥48,544 million and operating profit of ¥14,341 million (margin of 29.5%). Contribution to existing business growth through collaboration with group companies is also expected, with the realization of integration synergies becoming the next focal point.

Sales volumes of General Industrial Coatings increased in major markets such as Malaysia, Singapore, Indonesia, and Turkey. In China, sales of Automotive Coatings to local manufacturers were strong. Owing to improvement in the raw material cost ratio and the success of cost reduction measures, the operating profit margin for NIPSEA was maintained at 16.7% in Q1 FY2026. Regional expansion into India, Kazakhstan, and other markets is also ongoing.

Owing to the penetration of price increases for Industrial Coatings and the expansion of sales of highly durable products for construction and structural applications, operating profit of the Japan segment in Q1 FY2026 improved significantly to ¥6,044 million (up 36.7% year on year). Demand capture against the backdrop of tight raw material supply also contributed, accelerating the improvement in profitability.

Under the "asset-assembler" model, the company continues to pursue high-quality, low-risk M&A without restrictions on business, region, or scale. At DuluxGroup, small-scale acquisitions have contributed to the revenue of peripheral businesses. As of Q1 FY2026, there were no significant business combinations, and attention is focused on the discovery and execution of the next deal.

Revenue increased 5.7% year on year owing to share expansion through new customer acquisition and the penetration of price increases, but the operating profit margin remained at 3.7%. Uncertainty in the U.S. economy and the slump in the housing market continue, and structural profitability improvement is expected to take time.
