Governance

Risk Management

The company has established a Risk Management Committee (meeting twice a year), chaired by the President and CEO, as a subordinate body of the Management Council, to identify, assess, and analyze risks across the group and to formulate and monitor countermeasures. Climate change and nature-related risks are identified and assessed by the EHS Management Committee and incorporated into the company-wide risk management framework for management.

Shareholder Returns

Aiming for a total payout ratio of around 50%, the company implements shareholder returns combining stable dividend increases with share buybacks. For FY2026 (ending March 2026), the annual dividend per share is planned at ¥30 (interim ¥15 + year-end ¥15), with a dividend payout ratio of 32.6%. For FY2027 (ending March 2027), the annual dividend is planned at ¥36 per share (interim ¥18 + year-end ¥18).

Dividend Policy

In addition to stable dividend increases, the company will also consider share buybacks with a target total payout ratio of around 50%, taking into comprehensive account growth investments and financial soundness. The basic policy is to pay dividends twice a year, interim and year-end. For FY2026 (ending March 2026), the annual dividend per share is planned at ¥30 (interim ¥15 + year-end ¥15), with total dividends of ¥44,252 million and a dividend payout ratio of 32.6%. For FY2027 (ending March 2027), the annual dividend per share is planned at ¥36 (interim ¥18 + year-end ¥18).

As GS26 ESG themes, the company has set environmental targets including achieving carbon neutrality by FY2040 (Scope 1+2), a 50.4% reduction target by FY2030 versus FY2018 (SBT certified), a renewable energy usage rate of 50% (FY2030), and a recycling rate of 91.4% (FY2024 actual). On the human capital front, the company is strengthening DE&I promotion and global leader development, achieving a 13.2% ratio of female managers at Terumo Corporation (as of end-March 2026) and a 30.4% ratio of foreign nationals among executive officers.
