Company with an Audit and Supervisory Committee (transitioned in December 2021). The Board of Directors consists of 9 members (5 executive directors, 1 outside director, and 3 Audit and Supervisory Committee members, all of whom are independent outside directors). The Board of Directors meets 18 times per year, with full attendance. The independent auditor is KPMG AZSA LLC. Risk Management
The Company has established the "Risk Management Regulations," under which the Representative Director, the director in charge, executive officers, and department heads identify and evaluate risks at an early stage through daily operations. A Risk Management Committee is convened as necessary, and the Head of the Internal Audit Office verifies the appropriateness and effectiveness of risk management overall. A compliance consultation desk (external law firm, Audit and Supervisory Committee, and Legal and Labor Affairs Department) has been established, and an information asset management system is also in place through the Information Security Promotion Office. Material risks identified by the Sustainability Committee are addressed in coordination with the Risk Management Committee.
Shareholder Returns
Annual dividend of ¥0.00 (no dividend) for both FY2025 (ending September 2025) and FY2026 (ending September 2026). The full-year forecast for FY2026 (ending September 2026) also maintains no dividend. For the time being, priority is given to strengthening internal reserves, which will be allocated to investments in personnel expansion and diversification of the revenue base.
Dividend Policy
The annual dividend for FY2025 (ending September 2025) is ¥0.00 (no dividend). The interim dividend for FY2026 (ending September 2026) is ¥0.00, and the full-year forecast is also ¥0.00, continuing the no-dividend policy. The company has not paid dividends since its founding, and for the time being intends to focus on building up internal reserves. Internal reserves will be used for investments to strengthen the financial structure, expand personnel, and diversify the revenue base.
