Governance
The company has adopted an audit and supervisory committee structure, with the board of directors composed of 7 members (4 directors who are not audit and supervisory committee members, of whom 1 is outside; 3 audit and supervisory committee members, of whom 2 are outside). It has established a voluntary Nomination Committee and Compensation Committee, with outside directors making up the majority of each committee's members. All directors attended all 14 board of directors meetings.
Risk Management
The Company has established a cross-organizational Risk Management Committee, headed by the Representative Director and President as the officer responsible for risk management. Risk management regulations have been established covering market, environmental, labor, product quality, technological innovation, information systems, security, natural disaster, reputational, and other risks, and these are managed company-wide and comprehensively. Sustainability-related risks are also managed based on these regulations.
Shareholder Returns
The company's basic policy is to pay continuous dividends with a target payout ratio of approximately 40%. For FY2026 (ending December 2026), the annual dividend is forecast at ¥17 per share (interim ¥8 + year-end ¥9), an increase of ¥1 year on year. Actual results for FY2025 (ended December 2025) were ¥16 per share annually (interim ¥8 + year-end ¥8). Under the Articles of Incorporation, share buybacks can be implemented by resolution of the Board of Directors.

The company aims to continue paying dividends with a target payout ratio of approximately 40%, distributed twice a year (interim and year-end). Actual results for FY2025 (ended December 2025) were ¥16 per share annually (interim ¥8 + year-end ¥8). The forecast for FY2026 (ending December 2026) is ¥17 per share annually (interim ¥8 + year-end ¥9). There is no change to the dividend forecast.
ESG
Contributing to SDG Goal 12 through food loss reduction and logistics optimization via the sinops Business. Also conducting joint research with Tokyo City University. On the human capital front, the company has formulated a Health Management Declaration and established hybrid work and childcare/family care support systems. It has set a mid- to long-term target of 5–15% annual growth in member count, and the ratio of women in managerial positions stands at 21.1% (as of the end of December 2025).
