Company with a Board of Corporate Auditors. The Board of Directors comprises 5 members (3 outside directors, an outside ratio of 60%), and the Board of Corporate Auditors comprises 3 members (all outside). A voluntary Nomination and Compensation Committee has been established (chaired by an independent outside director), and the executive officer system separates business execution from oversight functions. The Board of Directors meets 16 times per year, with all members maintaining a high attendance rate.
Risk Management
The Company has established the Risk and Compliance Regulations and holds a Risk and Compliance Committee, chaired by the President and Representative Director, once per quarter. The Information Security Committee meets once a month to monitor and remain vigilant against threats such as cyberattacks. In the event of an emergency, a task force under the direction of the President and Representative Director is established, with a system in place to respond in cooperation with external experts.
Shareholder Returns
Currently no dividend. Following listing, the company targets a total shareholder return ratio (dividends plus share buybacks) of 50% or more, with a basic policy of continuous and stable profit distribution. Under the Articles of Incorporation, interim dividends and share buybacks by board resolution are permitted.
Dividend Policy
Currently, no dividends are paid in order to stabilize management and strengthen internal reserves. Following listing, the basic policy will be to pay continuous and stable dividends while taking into account profitability, growth potential, and strengthening of the corporate structure, targeting a total shareholder return ratio (dividends plus share buybacks) of 50% or more. The record date for the year-end dividend is April 30 each year, and the record date for the interim dividend is October 31 each year.
ESG
No formal sustainability basic policy has been established yet, but sustainability-related risks are discussed at the Risk & Compliance Committee. On the human capital side, the company has a foreign national employee ratio of 9.86% (as of end-August 2025) and has put in place an internal free-agent (FA) system, qualification acquisition support, a flextime system, and other measures to promote a diverse organization. Hiring in FY2025 (ended April 2025) totaled 4 new graduates and 17 mid-career hires. Quantitative indicators and targets such as overtime hours, paid leave utilization rate, and childcare leave utilization rate are currently being formulated.
