Company with an Audit and Supervisory Committee (transitioned in June 2023). The Board of Directors comprises 17 members in total: 13 directors (of which 3 are outside directors) plus 4 Audit and Supervisory Committee members (all outside), and the company also employs an executive officer system to separate oversight from business execution.
Risk Management
The Risk Management Office identifies and classifies business risks based on the "Basic Risk Management Regulations" and other policies, and formulates risk response plans with approval from the Representative Director. The Sustainability Committee (established in March 2025) identifies and evaluates sustainability-related risks and opportunities with reference to TCFD, SDGs, and other frameworks, confirms progress on a quarterly basis, and has established a system for reporting to the Board of Directors annually.
Shareholder Returns
Policy of gradually raising the payout ratio in line with business expansion, while ensuring retained earnings are secured. The annual dividend for FY2026 (ending March 2026) is ¥12 per share (interim ¥6, year-end ¥6), with a payout ratio of 32.7%. The same amount of ¥12 is planned for FY2027 (ending March 2027).
Dividend Policy
Policy of gradually raising the payout ratio in line with business expansion, while securing the retained earnings necessary for business scale expansion, human resource development, and strengthening of the financial structure. The annual dividend for FY2026 (ending March 2026) is ¥12 per share (interim ¥6, year-end ¥6), with a payout ratio of 32.7% and a dividend-on-equity ratio (DOE) of 2.1%. For FY2027 (ending March 2027), an interim dividend of ¥6 and a year-end dividend of ¥6, for an annual total of ¥12, are planned.
ESG
In March 2025, the company established a Sustainability Committee and identified five materialities: pharmaceutical distribution, regional healthcare, human capital, digital, and governance. On the human capital front, the company has advanced initiatives addressing human capital, environmental, and social issues, including a female manager ratio of 26.6% (exceeding the 25% target) and continuous certification as an Excellent Health Management Corporation since 2020.
