Governance
As a company with a Board of Corporate Auditors, it has established a Board of Directors (5 members, 1 of whom is outside), a Board of Corporate Auditors (3 outside corporate auditors), and an accounting auditor. The outside director ratio is low at 20%, but all corporate auditors are outside members, including financial and management experts, aiming to ensure sound management.
Risk Management
The Company has appointed an officer in charge of risk management and promotes the protection of information assets through the organization of an Information Security Committee and the development of related regulations. In the event of an external environmental risk, a task force headed by the Representative Director is established, with the Corporate Planning Department handling the response. Processes for identifying, evaluating, and managing sustainability-related risks have not yet been separately established.
Shareholder Returns
For FY2026 (ending March 2026), the company recorded net income of ¥168 million, returning to profitability, but continued to forgo dividends in light of its financial condition and the need to build up retained earnings. Dividends for FY2027 (ending March 2027) remain undecided at this time. No new share buyback has been implemented.

Regarding dividends for FY2027 (ending March 2027), while striving to improve profitability and strengthen its management foundation, the matter remains undecided at this time, taking into comprehensive account changes in the business environment and other factors. Going forward, the company intends to consider its approach to shareholder returns based on a balance between strengthening its financial position and investing for future growth.
ESG
There is no dedicated sustainability-specific governance structure or risk management process in place; sustainability is managed as an integral part of the existing corporate governance framework. Regarding human capital, the company recognizes the worsening shortage of security personnel as a key challenge and has set a policy of continuing to hire experienced professionals while promoting the recruitment and development of younger talent, though specific indicators and targets remain a matter for future consideration.
