Governance
The company has an Audit and Supervisory Committee structure with a Board of Directors (9 members in total, including 6 outside directors), and has established a Nomination and Compensation Advisory Committee chaired by an independent outside director, aiming to strengthen oversight functions and improve transparency.
Risk Management
The company has established a Group Risk Management Committee based on the "Moriroku Group Risk Management Basic Policy" and other frameworks. Shareholder Returns
For FY2026 (ending March 2026), a dividend of ¥115 per share (interim ¥57.5 + year-end ¥57.5) was implemented, with a payout ratio of 67.3% and DOE of 2.6%. For FY2027 (ending March 2027), a dividend of ¥125 per share (interim ¥62.5 + year-end ¥62.5) is forecast, with a payout ratio of 57.7% expected. Share buybacks were also conducted (¥915 million spent in the current period).
Dividend Policy
The basic policy is to pay dividends twice a year (interim and year-end). The FY2026 (ending March 2026) actual result was ¥115 per share (payout ratio 67.3%, DOE 2.6%). The FY2027 (ending March 2027) forecast is ¥125 per share (payout ratio 57.7%). The company has adopted DOE as a dividend indicator and aims for gradual increases.
ESG
The company supports the TCFD recommendations and has set targets to reduce GHG emissions by 45% by FY2027 and 50% by FY2030 compared to FY2019 levels (a 39.13% reduction was achieved in FY2024). It has aligned 12 materiality items—including climate change, human rights due diligence, promotion of diversity, and strengthening information security—with the 14th Medium-Term Management Plan, and these are being advanced by the Sustainability Committee, chaired by the Representative Director and President, under the oversight of the Board of Directors.
