Governance
The company has adopted a Company with an Audit and Supervisory Committee structure. The Board of Directors is composed of 8 members in total: 5 directors (1 of whom is outside) and 3 directors who are Audit and Supervisory Committee members (all outside). The outside director ratio is 50% (4 of 8 members). The Board of Directors meets 16 times per year, with nearly full attendance by all members. Risk Management
The company has established a code of ethics and internal whistleblowing regulations to build a compliance framework. Important information is shared at management meetings (held weekly) to facilitate early detection and prevention of risks. A Sustainability Committee (chaired by the Representative Director and President) has also been established to identify and manage sustainability-related risks.
Shareholder Returns
The company plans to remain dividend-free for the time being in order to prioritize growth investment. The possibility and timing of implementing dividends are undetermined at this point. The Articles of Incorporation include a provision allowing dividends of surplus to be decided flexibly by resolution of the Board of Directors.
Dividend Policy
As the company is in a growth phase, it plans to prioritize securing internal reserves to fund growth investments such as securing and developing human resources, strengthening service investment, and enhancing sales capabilities, and therefore plans to remain dividend-free for the time being. The possibility and timing of implementing dividends are undetermined at this point. If dividends are implemented, the basic policy will be to pay a single year-end dividend annually.
ESG
The company has established a Sustainability Committee to pursue ESG initiatives in an integrated manner with its management strategy. In terms of human capital, it promotes development programs such as "iRidge Talk" and flexible working arrangements through "Work Style for Next iRidge." It discloses a female manager ratio of 25.0% and a male childcare leave take-up rate of 50.0% (target: 100%).
