Company with a Board of Corporate Auditors. The Board of Directors consists of 7 members (3 outside directors, 3 independent officers), with independent outside directors accounting for at least one-third of the board. A voluntary Nomination and Compensation Committee (chaired by an independent outside director) has been established to ensure fairness and transparency of procedures.
Risk Management
The Company has established a Risk Management Committee chaired by the President and Representative Director, operating a company-wide risk management framework. Cybersecurity is addressed by the SIRT and PSIRT under the oversight of the CISO, while climate change risk is positioned as a key element of management strategy, in line with the Company's endorsement of the TCFD (June 2021).
Shareholder Returns
Basic policy is to pay dividends twice a year (interim and year-end). The year-end dividend for FY2026 (ending March 2026) is ¥5 per share (payout ratio 92.6%), with an increase to ¥5.50 per share planned for FY2027 (ending March 2027) (forecast payout ratio 25.9%). Share buybacks are also conducted.
Dividend Policy
The company aims to secure a certain level of retained earnings to support sustainable growth and profitability, while returning profits to shareholders in line with business performance. The basic policy is to pay dividends twice a year, interim and year-end, with the interim dividend resolved by the Board of Directors and the year-end dividend resolved at the general shareholders' meeting. For FY2026 (ending March 2026), the year-end dividend is ¥5 per share (total dividends of ¥201 million, payout ratio 92.6%). In the prior fiscal year (FY2025, ended March 2025), the dividend was ¥4 per share (total of ¥161 million, payout ratio 5.3%). For FY2027 (ending March 2027), the dividend is forecast at ¥5.50 per share (payout ratio 25.9%).
ESG
On climate change response, the company has achieved 100% renewable energy power sourcing at the Ishikari Data Center and installed DLC (Direct Liquid Cooling) container-type data centers, achieving substantially zero CO2 emissions across all data centers. On cybersecurity, the company has obtained ISMAP registration, ISMS certification, and other credentials, and has established PSIRT and SIRT frameworks. On human capital, under the “ES Employee Success” policy, the company is promoting generative AI training, advancement of women, and a 90% male childcare leave uptake rate (actual result for the current period), among other initiatives.
