Governance
The company has an Audit and Supervisory Committee structure. The Board of Directors consists of 8 members in total (including 3 outside directors), and an executive officer system has been introduced to separate business execution from oversight functions. A voluntary Nomination and Compensation Committee (with a majority of outside directors) has been established to ensure transparency and objectivity.
Risk Management
The Company has established a Risk Management Committee under the Board of Directors to identify, evaluate, and manage management risks and opportunities, including those related to sustainability. Matters deliberated by the committee are reported to the Board of Directors, which oversees, supervises, and makes decisions accordingly. A dedicated organization for cybersecurity response has also been established.
Shareholder Returns
No dividend for FY2025 (ending December 2025) (annual dividend of ¥0). For FY2026 (ending December 2026), a year-end dividend of ¥5 (annual dividend of ¥5) is planned (¥0 at the second quarter-end). From FY2027 (ending December 2027) onward, the policy is to pursue stable and continuous returns with a target consolidated payout ratio of 30% or more.
Dividend Policy
The basic policy is to maintain stable dividend continuity while comprehensively considering trends and outlook in consolidated business results, as well as indicators such as the payout ratio, dividend yield, and equity ratio. For FY2025 (ending December 2025), the annual dividend is ¥0 (no dividend). For FY2026 (ending December 2026), a dividend of ¥0 at the second quarter-end and ¥5 at year-end is planned, for an annual dividend of ¥5. From FY2027 (ending December 2027) onward, the policy is to strive for stable and continuous returns with a target consolidated payout ratio of 30% or more. As of the first quarter of FY2026 (ending December 2026), there has been no revision to the dividend forecast.
ESG
The company positions human capital as a source of management value, engaging in initiatives such as promoting women's advancement (having obtained the three-star Eruboshi certification), expanding employment of persons with disabilities, health management (certified as a Health & Productivity Management Outstanding Organization for five consecutive years in 2025), and GPTW certification (for four consecutive years). It has set quantitative targets, such as a female manager ratio of 10.8% (target: 20%) and a turnover rate of 7.0% (target: 5% or below), and discloses progress against these targets.
