Business Model

The company recruits and trains a wide range of personnel, including those without prior IT experience, through its proprietary "CAT Certification" program, and provides high-quality, scalable services by standardizing and visualizing operations using its test support tool "CAT (Test Support Tool)". It manages monthly customer sales unit price and engineer unit price as key KPIs, building up revenue through the dual drivers of rising unit prices and an expanding customer base. Company Strengths

The enterprise software testing market is estimated at approximately ¥5.5 trillion (calculated based on the Ministry of Internal Affairs and Communications and Ministry of Economy, Trade and Industry's "2021 Basic Survey on Information and Communications Industry" and IPA's "Software Development Analysis Data Collection 2022"). The enterprise segment, which requires advanced business and development knowledge, has high entry barriers, and outsourcing has hardly progressed. SHIFT has been at the forefront of developing this market through its proprietary standardization methods and certification system.

Through the "CAT Certification," SHIFT has built a framework that enables objective evaluation of software testing aptitude even for those without IT experience. The test support tool "CAT (TD・TCM)" visualizes progress and problem processes in real time, achieving highly productive testing operations that eliminate dependence on individual skill. The process management methodology of "efficiency, visualization, and reproducibility," derived from manufacturing consulting, serves as a differentiating factor against competitors.

Since 2016, SHIFT has made numerous companies, including ALH, Methodologic, Chronos, and KINSHA, consolidated subsidiaries through M&A. As of FY2025 (ending August 2025), it had built a structure of 38 consolidated subsidiaries. Through a standardized PMI process, SHIFT has established a mechanism for annualizing the performance of acquired subsidiaries and putting them on a growth trajectory, and net sales for FY2025 (ending August 2025) expanded to ¥129,819 million, approximately 2.8 times larger over five years.

ENVALITH's Perspective

Cumulative results for the nine months of FY2026 (ending March 2026) showed revenue of ¥115,848 million (up 21.4% year on year), securing revenue growth, while operating profit came to ¥11,383 million (down 4.3% year on year) and quarterly net income attributable to owners of the parent fell sharply to ¥3,979 million (down 36.6% year on year). Recruitment expenses increased as recruitment activity, which had been strategically curtailed in the previous period, returned to normal, utilization rates temporarily deteriorated as sales resources were concentrated on securing large-scale projects, and an equity-method investment loss of ¥3,872 million dealt a direct blow to net income. The gap versus adjusted operating profit (¥13,162 million, down 2.1% year on year) is large, and trends in M&A-related costs and equity-method losses will hold the key to future profit recovery.

The full-year earnings forecast for FY2026 (ending March 2026) has been revised from the figures announced on October 14, 2025 (revenue of ¥160,000 million, adjusted operating profit of ¥20,000 million, adjusted ordinary profit of ¥16,000 million, and adjusted net income attributable to owners of the parent of ¥9,000 million). Cumulative progress through the third quarter stood at 72.4% for revenue, but progress on profit-related metrics lagged, at 56.8% for adjusted ordinary profit and 64.0% for adjusted net income, requiring a substantial buildup of profit in the fourth quarter (three months) alone. The equity ratio declined from 52.7% to 36.1% due to an increase of ¥18,700 million in short-term borrowings associated with the consolidation of Nissay Com, and attention should also be paid to the rise in financial leverage.

Reaching ¥300,000 million (SHIFT3000) from FY2025 (ended August 2025) revenue of ¥129,819 million requires continued growth of over 20% per year. The full-year forecast for FY2026 (ending March 2026) of ¥160,000 million (up 23.2% year on year) is on track, but on the profit side, adjusted net income is forecast to decline 17.1% year on year. AI-related revenue expanded to ¥11,414 million on a cumulative nine-month basis, and increasing the proportion of high-margin AI projects will be key to improving profitability. External factors, such as uncertainty over U.S. trade and tariff policy and rising prices, also pose risks to customers' IT investment decisions. The introduction of the first-ever dividend (year-end dividend of ¥4.10) signals a shift in the company's approach to shareholder returns, and the change in capital allocation policy, combined with share buybacks (7,900,000 shares, ¥6,341 million), will likely influence investor assessment.

Growth Strategy

Aiming for revenue of ¥300,000 million under the SHIFT3000 strategy, pursuing four pillars: sales, recruitment, M&A, and AI-related services

Achieved a monthly sales unit price of ¥9,121 thousand per customer (standalone basis) and 2,228 monthly transacting customers through thorough customer-oriented proposals. Continuing to strategically concentrate sales resources on winning large-scale projects, maintaining the upward trend in project unit price (¥4,703 thousand, consolidated) and number of projects (2,258, consolidated).

Normalizing recruiting activities that were strategically curtailed in the previous fiscal year, and making upfront investments in recruiting costs. While recognizing a temporary decline in utilization rate, priority is given to building the talent base needed for medium- to long-term revenue growth. Rising recruiting costs are weighing on current-period profit, but utilization rate is expected to recover from the second half onward.

Newly consolidated Nissay Com Co., Ltd. in the third quarter of FY2026 (ending August 2026), recording goodwill of ¥12,528 million and an increase in short-term borrowings of ¥18,700 million. Leveraging M&A/PMI capabilities to continuously expand business scope and drive cross-selling within the group, building up revenue scale and customer base.

Successively creating generative AI-related services such as the AI Test Agent (which dramatically shortens test execution periods) and AI-based system specification visualization. Cumulative AI-related revenue for the third quarter reached ¥11,414 million, with the aim of improving profit margins by increasing the proportion of high-margin AI projects.

Planning to implement its first-ever dividend (year-end dividend of ¥4.10) starting from FY2026 (ending August 2026). Also acquired 7,900,000 treasury shares (¥6,341 million) in January 2026. Shifting to a capital allocation policy that balances shareholder returns with growth investment, aiming to maximize corporate value.
