Governance
The company has an Audit and Supervisory Committee structure. The Board of Directors consists of 7 members in total (4 outside directors), with outside directors accounting for approximately 57%. All 4 outside directors are registered as independent officers with the Tokyo Stock Exchange. No nomination committee or compensation committee has been confirmed to be established.
Risk Management
The Corporate Management Division takes the lead in striving for early detection and prevention of risks, and has established an internal whistleblowing system and compliance regulations. The company has formulated risk management regulations for the entire group, and the Internal Audit Office evaluates the effectiveness of internal controls at each department and group company. A system has been established to report materiality identified from a sustainability perspective to the Management Committee and the Board of Directors as appropriate.
Shareholder Returns
No dividend for the FY2026 (ending September 2026) interim or year-end period (annual dividend of ¥0). No change to dividend policy or the policy of flexibly implementing share buybacks. During the interim period, treasury shares valued at ¥33 thousand were acquired.
Dividend Policy
The basic policy is to pay a year-end dividend once per year; however, at present the possibility and timing of any dividend payment remain undecided. The annual dividend forecast for FY2026 (ending September 2026) is ¥0. Internal reserves are to be used as funds for strengthening the financial base and expanding the business. The Articles of Incorporation stipulate that dividends from surplus shall be determined by resolution of the Board of Directors.
ESG
Sustainability promotion is led by the Board of Directors and the Audit and Supervisory Committee, which deliberate on key risks and opportunities as appropriate. The company positions its people as its greatest asset and works to build a workplace environment that encourages diverse talent to thrive and take on challenges. Monthly employee surveys are conducted with attention to health and workplace comfort. However, due to the small number of employees, quantitative target-setting for ESG indicators has not yet been implemented.
