Governance
As a company with a Board of Corporate Auditors, the company has established a Board of Directors (5 members in total, including 3 outside directors), and has set up a Nomination and Compensation Committee, in which independent outside directors hold a majority, as a voluntary advisory body. This aims to enhance management transparency and strengthen oversight and monitoring functions.
Risk Management
The Group has established a Risk Management Committee based on the Group Risk Management Regulations, and forms an emergency response team headed by the President in the event a material risk materializes. The Sustainability Committee manages sustainability-related risks and has put in place a framework to coordinate with the risk management committees of each Group company in responding to such risks.
Shareholder Returns
Annual dividend for FY2026 (ending March 2026) is set at ¥25.00 per share (interim ¥11.50 + year-end ¥13.50), with a payout ratio of 47.2%. For FY2027 (ending March 2027), an annual dividend of ¥25.00 (¥12.50 each) is also planned. No mention of share buybacks.

The Sustainability Committee, chaired by the Representative Director and President, meets at least once per quarter, addressing climate change (TCFD-compliant 1.5°C and 4°C scenario analysis conducted), human capital (target of 20% or higher for the ratio of female managers by FY2027 (ending March 2027), with actual results at 19.4%), development of diverse human resources, and occupational health and safety.
