Governance
The company employs a corporate auditor (kansayaku) system. It has 5 directors (including 1 outside director/independent officer) and 4 corporate auditors (including 2 outside corporate auditors). No nomination committee or compensation committee has been established. The Board of Directors meets 13 times per year, and the company has an internal audit department (2 members), a whistleblower investigation committee, and a retained legal counsel.
Risk Management
Sustainability risks are regularly assessed and managed through the operation of ISO 9001 and ISO 14001. The Company has established Personal Information Management Regulations and a personal information security management system, and ordinary operational risks are addressed by each responsible department in accordance with manuals based on the Regulations on Division of Duties. Management oversight functions are strengthened through the coordinated three-way audit of the Audit & Supervisory Board Members, the internal audit department, and the accounting auditor.
Shareholder Returns
During the 12th Medium-Term Management Plan period, the policy is to maintain a minimum annual dividend of ¥30 per share. For FY2026 (ending June 2026), the interim dividend was ¥16.50 (actual) plus a year-end dividend of ¥15 (forecast), totaling ¥31.50 per year, which represents a decrease from the previous fiscal year (¥34). Treasury share buybacks may be carried out by resolution of the Board of Directors under the Articles of Incorporation.
Dividend Policy
The policy is to "maintain a minimum annual dividend of ¥30 per share regardless of the level of profit" (during the 12th Medium-Term Management Plan period). Dividends are paid twice a year, interim and year-end. For FY2026 (ending June 2026) actual/forecast: interim dividend of ¥16.50 (actual) plus year-end dividend of ¥15 (forecast), totaling ¥31.50 per year. In the previous fiscal year (FY2025, ending June 2025), the interim dividend was ¥17.50 (ordinary dividend of ¥15 plus a commemorative dividend of ¥2.50 for the 70th anniversary of corporate reorganization) plus a year-end dividend of ¥16.50, totaling ¥34 per year. There has been no revision to the dividend forecast from the full-year earnings forecast.
ESG
Acquired ISO14001 certification in August 2006 and has continuously operated an environmental management system since then. Obtained SBTi (Science Based Targets initiative) certification in January 2023, setting a target of "reducing greenhouse gas emissions by 42% by 2030 compared to FY2020 levels." Promotes product development compliant with the RoHS Directive and free of conflict minerals. On the human capital front, the company has established a policy of appointing managers based on ability and aptitude, but numerical targets such as the ratio of women, foreign nationals, and mid-career hires in managerial positions have not yet been set.
