Governance
As a company with an Audit and Supervisory Committee, the company has established a Board of Directors, an Audit and Supervisory Committee, a Management Committee, and a Personnel Committee, separating oversight and business execution through an executive officer system. The Personnel Committee, in which outside directors hold a majority, deliberates on nominations and compensation and reports its recommendations to the Board of Directors.
Risk Management
The company has established a Risk Management Committee headed by the Representative Director, President and Executive Officer, which conducts risk assessments, identifies material risks, approves countermeasure plans, and performs monitoring. It coordinates with the Compliance Committee, the Central Health and Safety Committee, and the Environmental Committee, and has built internal controls based on a three lines of defense model.
Shareholder Returns
The company's basic policy is to maintain stable dividend continuation, keeping the interim/year-end dividend of ¥25.00 each (¥50.00 annually) for both FY2026 (ending March 2026) and FY2027 (ending March 2027) forecasts. Total dividends for FY2026 (ending March 2026) amount to ¥636 million, with a payout ratio of 66.7%. Share buybacks were also conducted (¥55 million spent in the current period).
Dividend Policy
The basic policy is to continue stable dividends, determined by comprehensively considering consolidated business results and future business development. An interim dividend (¥25.00) and year-end dividend (¥25.00) are paid, maintaining an annual dividend of ¥50.00 for both FY2026 (ending March 2026) and FY2027 (ending March 2027) forecasts. ESG
The company endorses the TCFD recommendations and has set GHG emissions reduction targets (a reduction of 46% or more by FY2030 versus FY2013, and carbon neutrality by 2050). In terms of human capital, it has set targets of a female manager ratio of 5% or higher and a male childcare leave uptake rate of 50% or higher, and is also working on expanding the development and sale of sustainable products and conducting human rights due diligence.
