Risk Management

The Company has established the "Crisis Management Regulations" and the "Risk Management Regulations," under which risk information is collected and evaluated at the Department Managers' Meeting to determine response policies. A system has been put in place whereby the Internal Audit Office audits the status of risk management and reports to the Board of Directors and the Audit and Supervisory Committee. Climate change-related risks are managed by integrating them into the company-wide risk management process through collaboration between the Sustainability Committee and the Department Managers' Meeting.

Shareholder Returns

Policy of paying only a year-end dividend. Actual results for FY ending October 2025 were ¥30 per share (ordinary dividend of ¥26 plus special dividend of ¥4). The forecast for FY ending October 2026 is ¥32 (an increase of ¥2 year-on-year), planning a dividend increase. No interim dividend is paid (second-quarter-end dividend of ¥0). No disclosure of share buybacks.

Dividend Policy

Dividends are paid taking into account consolidated business results, comprehensively considering funding needs for future business expansion and profitability improvement, and financial condition. Although the articles of incorporation allow for interim dividends, only a year-end dividend is paid based on the view that it is appropriate to distribute results for the full fiscal year. The annual dividend forecast for the fiscal year ending October 2026 is ¥32 per share (paid as a single year-end dividend). The company has established a Sustainability Committee chaired by the President and Representative Director, and has conducted scenario analyses based on the TCFD recommendations under the 4°C and 1.5°C scenarios. It has set a target of achieving net-zero Scope 1 and 2 greenhouse gas emissions by FY2050 (ending March 2051), and is promoting the installation of solar panels and introduction of energy-saving equipment at its factories. Regarding human capital, the company achieved a 50.0% ratio of female new hires and an 83.3% rate of male employees taking childcare leave in FY2025, and continues its efforts toward its FY2029 targets. The company also conducts human rights due diligence across its entire supply chain; in FY2025, it requested legal compliance and system enhancement from 35 new overseas primary suppliers and 1,110 Gyomu Super franchise stores.
