Company with a Board of Corporate Auditors. Composed of 4 directors (of which 3 are outside directors, an outside ratio of 75%) and 3 corporate auditors (all outside). The Board of Directors held 14 meetings during the fiscal year under review, and all members attended every meeting (Mr. Nobuyuki Azuma attended all meetings held after his appointment). The company has adopted an executive officer system, separating the decision-making and oversight functions from the business execution function.
Risk Management
The Risk and Compliance Committee, chaired by the Representative Director and President, meets monthly to review legal and regulatory compliance status and deliberate responses to business risks. A framework is in place under which matters discussed and decided are reported to the Board of Directors as necessary. Internal audits are conducted by three staff members holding concurrent responsibilities, covering all departments, with results reported to the Representative Director and President as well as to the Risk and Compliance Committee.
Shareholder Returns
No dividends continued in FY2026 (ending March 2026) (annual dividend of ¥0). No dividends are also forecast for FY2027 (ending March 2027). Meanwhile, during the fiscal year under review the company conducted share buybacks (¥150,638 thousand) and retired treasury shares (15,000 shares), utilizing share buybacks as a means of shareholder returns.
Dividend Policy
The company prioritizes strengthening its financial structure and building up internal reserves for business expansion, and maintains a policy of no dividends for the time being. The annual dividend is ¥0 for both FY2026 (ending March 2026) and FY2027 (ending March 2027) (forecast). The basic policy, when dividends are paid, is to pay twice a year (interim and year-end), and the Articles of Incorporation stipulate that dividends of surplus may be determined by resolution of the Board of Directors.
ESG
As its sustainability policy, the company has set forth three themes—"Respect for Human Rights," "Environmental Conservation," and "Understanding of Diversity"—and adopts as its guiding principle having a positive impact on society through its corporate activities. Quantitative targets and indicators have not yet been established at this stage, but as of March 31, 2026, women accounted for 59% of employees and 20% of managerial positions, and the company is promoting women's advancement by establishing childcare and family care leave systems and reduced working hour programs.
