Governance
As a company with a Board of Corporate Auditors, the company has established a Board of Directors (10 members in total, including 5 outside directors, with independent outside directors comprising at least one-third) and a Board of Corporate Auditors. It has also established a voluntary Nomination and Compensation Advisory Committee (with independent outside directors constituting a majority and serving as chair) as well as the JT Group Compliance Committee, thereby building an effective governance structure.
Risk Management
ERM (Enterprise Risk Management) has been implemented across the entire group, with the President serving as the person in charge, and the Vice President and the Executive Officer in charge of ERM selecting and monitoring key risks. The selection results are reported to the Board of Directors at least once a year, and sustainability-related risks, including climate change risk, are also incorporated into the ERM process.
Shareholder Returns
Annual dividend forecast for FY2026 (ending December 2026) is ¥242 per share (interim ¥121 + year-end ¥121). Calculated based on a payout ratio of 75.2% (on adjusted net income of ¥571,000 million basis). This represents an increase of ¥8 from the previous period's actual ¥234. Share buybacks will be considered on a case-by-case basis in light of financial condition and medium-term funding needs.
Dividend Policy
Calculated using a payout ratio (75.2%) based on net income (¥571,000 million) after adjustments for the impact of items such as the settlement payment related to the Canadian litigation settlement. Dividends are paid twice a year, as interim and year-end dividends (¥121 each). Whether to conduct share buybacks will be considered based on the financial condition and medium-term funding needs of the relevant fiscal year.
ESG
The company has set five materiality themes—"Coexistence with Nature," "Investment in Human Capital," "Responsible Supply Chain," and others—and formulated JT Group Sustainability Targets. On climate change, it targets carbon neutrality in operations by 2030 and net-zero across the value chain by 2050 (SBT certification obtained); FY2024 Scope 1+2 emissions were 509 thousand t-CO2e. On human capital, the proportion of women in management positions reached 26.4% (2030 target: 30%), the company has received Global Top Employer certification for 12 consecutive years, and the childcare leave take-up rate reached 102%.
