Governance
Company with a Board of Corporate Auditors. The Board of Directors consists of 4 members (1 outside director, 25% outside ratio), and there are 3 corporate auditors (all outside). No Nomination Committee or Compensation Committee has been established. A Compliance Committee has been established and meets at least once a month. During the fiscal year under review, the Board of Directors met 24 times (100% attendance rate for all members).
Risk Management
The Administrative Division adopts a management process in which sustainability-related risks are identified, deliberated and reviewed by the Compliance Committee, and then decided upon by the Board of Directors. A framework is being established to periodically report post-decision progress to the Compliance Committee and the Board of Directors. An internal audit officer (1 person), reporting directly to the President, plans and audits overall operations, coordinating with the Audit & Supervisory Board Members and the accounting auditor. Note that material uncertainty regarding the going concern assumption continues to exist.
Shareholder Returns
For FY2026 (ending December 2026), the company forecasts an annual dividend of ¥0 (no dividend). No dividend was paid in the prior period (FY2025, ended December 2025) either. Amid material doubt about the company's ability to continue as a going concern, retained earnings, which would serve as the source of dividends, stand at negative ¥1,032,571 thousand, and no shareholder returns have been implemented. No share buybacks have been conducted.
Dividend Policy
The annual dividend forecast for FY2026 (ending December 2026) is ¥0 (no dividend). FY2025 (ended December 2025) also had no dividend (¥0 annually). Retained earnings stand at negative ¥1,032,571 thousand, and since there is no source of funds for dividends, the no-dividend policy continues. No specific policy such as a target payout ratio is disclosed in this earnings report.
ESG
Under the management philosophy of "Link to the future," the company is promoting its environmental solutions business and energy-related business (grid-connected storage batteries and solar power) as part of its response to SDGs goals (Nos. 11, 13, 15, etc.). In terms of human capital, the company's policy is merit-based appointment regardless of gender or nationality, along with regular training and interviews; however, given the small organizational size of 23 officers and employees (11 employees), no quantitative targets have been set. The company has expressed its commitment to addressing climate change, waste management, and regenerative medicine (health and welfare) through its business activities.
