Company with an Audit and Supervisory Committee (transitioned to this structure in 2017). The Board of Directors consists of 8 members (5 executive directors plus 3 outside directors serving on the Audit and Supervisory Committee), with outside directors accounting for 3/8 (37.5%) of the board. In September 2022, a voluntary Nomination and Compensation Committee chaired by an independent outside director was established. The full-year dividend forecast for FY2026 (ending June 2026) remains unchanged at ¥29.50 (interim ¥12.00 + year-end ¥17.50) from the previous forecast. Despite the downward revision of earnings guidance, the dividend forecast was maintained. The company's policy targets a payout ratio of 50% or more with a DOE floor of 5%.
Dividend Policy
The basic policy is to target a payout ratio of 50% or more, and from FY2026 (ending June 2026), a DOE (dividend on equity) floor of 5% has been introduced. The interim dividend will be implemented with a DOE floor of 2.5%. Even in FY2026 (ending June 2026), for which earnings guidance was revised downward, the company positions stable returns of profit to shareholders as an important management priority, and, taking into account its financial base, cash flow situation, and future business development in a comprehensive manner, has maintained the full-year dividend forecast of ¥29.50 (year-end dividend of ¥17.50). Dividends from surplus are determined by resolution of the Board of Directors.
ESG
In January 2023, the company formulated its "Sustainability Basic Policy," consisting of four pillars: contribution to social and environmental issues, establishing trust from society, respect for well-being, and contribution to local communities. The company positions the promotion of paperless operations through the digitization of billing and settlement as a core part of its business itself. The Sapporo head office obtained WELL Certification at the Platinum level (September 2022) and won the 36th Nikkei New Office Award (August 2023). The scholarship program for financially challenged students at Hokkaido colleges of technology (KOSEN) has provided a cumulative total of approximately ¥111,000 thousand to 1,025 students as of the end of FY2024. The rate of male employees taking childcare leave reached 100% in the fiscal year under review.
