Governance
Company with an Audit and Supervisory Committee. The Board of Directors consists of 10 members in total: 7 directors excluding Audit and Supervisory Committee members (3 of whom are outside directors) plus 3 Audit and Supervisory Committee members (2 of whom are outside directors). The Nomination and Compensation Advisory Committee, established in February 2023 (with independent outside directors comprising a majority), ensures transparency in the appointment and compensation determination processes. A takeover defense measure (responding to large-scale acquisitions of 20% or more) was approved and introduced at the General Meeting of Shareholders in March 2024.
Risk Management
The company has established a multi-layered risk management framework comprising a Risk Management Committee, Compliance Committee, Quality Assurance Committee, and Sustainability Committee. To address international dairy supply-demand and foreign exchange risks associated with overseas procurement of natural cheese, the main raw material, the company reviews purchasing contract methods and timing and conducts forward exchange contracts. FSSC 22000 certification has been obtained at the Kobe and Nagano plants to manage food safety risks. Climate change risk is being addressed through scenario analysis (2°C and 4°C) currently underway at the Sustainability Committee.
Shareholder Returns
For FY2026 (ending December 2026), the company forecasts an annual dividend of ¥20 per share (¥0 at Q2-end, ¥20 at year-end). No change to the dividend forecast relative to the full-year earnings forecast (net sales of ¥55,000 million, net income of ¥1,500 million). Share buybacks can be implemented flexibly by resolution of the Board of Directors under the Articles of Incorporation.
Dividend Policy
The basic policy is to pay dividends once a year at fiscal year-end, placing the highest priority on maintaining stable, continuous dividends. The FY2026 (ending December 2026) dividend forecast is ¥0 at Q2-end and ¥20 at year-end, for an annual total of ¥20 (unchanged from the previous fiscal year's actual results). Actual results for FY2025 (ended December 2025) were ¥0 at Q2-end and ¥20 at year-end, for an annual total of ¥20. Interim dividends can be implemented by resolution of the Board of Directors under the Articles of Incorporation. There has been no revision to the dividend forecast from the most recently announced figures.
ESG
Under the "Rokko Butter Sustainability Declaration" (slogan: "Making the future healthier through deliciousness"), the company is advancing action plans for four stakeholders: consumers, the global environment, employees, and local communities. On climate change response, based on TCFD recommendations, the company conducted 2°C and 4°C scenario analyses and set a target to reduce GHG (Scope 1+2) emissions by 30% by 2030 versus FY2020 (ended March 2020) levels. In January 2025, a large-scale solar power generation facility was installed at the Kobe Plant. In terms of human capital, the company set FY2027 (ending March 2027) targets including a male childcare leave uptake rate of 70% or higher (current actual: 30%) and conversion of 10 or more non-regular employees to regular employee status (current actual: 4). The proportion of women in management positions is 6.7%.
