Company with an Audit and Supervisory Committee. Risk Management
Based on the Yamazaki Baking Group Risk Management Regulations, the Risk Management Committee, chaired by the President and Representative Director, is convened on a regular basis. The company has established a food safety and hygiene management system (utilizing the AIB International Inspection Unified Standards), a labor safety management system, and a Compliance Committee and hotline, and has built a framework to establish response headquarters at head office and local sites in the event of a major risk occurrence.
Shareholder Returns
The annual dividend forecast for FY2026 (ending December 2026) is ¥60 per share (year-end lump sum), maintaining the same amount as the previous period. Based on a resolution by the Board of Directors on February 25, 2026, the company has completed a repurchase of 649,800 shares of treasury stock (acquisition amount: ¥2,224 million). There is no change to the earnings forecast.
Dividend Policy
The company will continue to pay stable dividends targeting a consolidated payout ratio of 30%, comprehensively taking into account business performance and future business development in each fiscal year, while also giving due consideration to retaining internal reserves to strengthen its corporate foundation. Dividends are paid once a year (year-end dividend). The annual dividend forecast for FY2026 (ending December 2026) is ¥60 per share.
ESG
The company supports TCFD and has conducted climate change scenario analysis (2°C and 4°C). Based on the Japan Bread Industry Association's "Low Carbon Society Action Plan 2030," it is working to reduce CO2 emission intensity by 1% annually, as well as reduce food loss and lighten plastic packaging. In terms of human capital, the company has set forth goals for promoting women's advancement and diversity, but specific indicators and targets have not yet been established. The proportion of women in management positions at the reporting company is 3.1%.
