Governance
As a company with an audit and supervisory committee, the Board of Directors consists of 10 directors (5 of whom are outside directors). In March 2026, the company newly established a voluntary nomination and compensation committee to strengthen independence and objectivity, while also implementing an executive officer system to separate management oversight from business execution.
Risk Management
The Company has established an internal crisis management system to appropriately manage and control each risk, working in coordination with legal counsel and the accounting auditor. For sustainability risks, each responsible department identifies and evaluates risks based on materiality, with deliberation by the Management Committee twice a year and oversight by the Board of Directors.
Shareholder Returns
Stable dividend policy targeting a payout ratio of approximately 40%. Dividend per share for the current fiscal year was ¥124 (total dividends of ¥7,429 million, an increase of ¥34 year on year), with an increase to ¥127 planned for the next fiscal year. Share buybacks of ¥640 million were conducted during the current fiscal year.
Dividend Policy
The company aims for a payout ratio of approximately 40% and will continue stable dividends in line with growth results delivered to shareholders. Dividend amounts will be determined by comprehensively considering future growth investment and strengthening of the management foundation. Dividend per share for the current fiscal year was ¥124 (total dividends of ¥7,429 million, payout ratio of 40.1%), and for the next fiscal year, an increase of ¥3 per share to ¥127 is planned (target payout ratio of approximately 40.1%).
ESG
As part of its climate change response, the company conducted scenario analysis based on the TCFD framework, setting targets to reduce Scope 1 and 2 emissions by 50% by FY2035 (versus FY2024 levels) and achieve carbon neutrality by FY2050 (FY2025 preliminary figure: 9,878 t-CO2). In terms of human capital, the company is promoting multifaceted ESG initiatives, including talent development utilizing training facilities such as Chuo Gakuen, achieving a male childcare leave uptake rate of 76.7%, and obtaining Health & Productivity Management Outstanding Organization 2026 certification.
