Business

Sato Watanabe Co., Ltd. is a road construction specialist group founded in 1938, listed on the Standard Market of the Tokyo Stock Exchange. The group, comprising 5 consolidated subsidiaries and 1 equity-method affiliate, integrally operates paving and civil engineering contracting (construction segment) and the manufacture and sale of asphalt mixture and other products (products sales segment). Its major customers are government agencies and expressway companies, including the Ministry of Land, Infrastructure, Transport and Tourism, East Nippon Expressway Company, West Nippon Expressway Company, and Tokyo Port Terminal Corporation, with government agencies accounting for 60.8% of net sales of completed construction contracts in the fiscal year under review. Paving construction accounts for 81.1% of net sales of completed construction contracts, with the company's core business being paving repair and new construction work on expressways, ports, and general roads nationwide.

Business Model

In the construction segment (84.9% of net sales), negotiated (sole-source) orders account for 79% of the total, and stable order intake is secured based on continuous business relationships with expressway operators and government agencies. In the products sales segment (15.1% of net sales), asphalt mixture is manufactured at the company's own and group plants, and raw material costs are managed by combining external sales with internal supply to the company's own construction projects. The vertical integration of both segments underpins a structure that enhances profitability.

Company Strengths

Continuously secured large-scale construction orders of ¥300 million or more over multiple years from major clients such as East Nippon Expressway, West Nippon Expressway, Tokyo Port Terminal Corporation, and the Ministry of Land, Infrastructure, Transport and Tourism. The proportion of negotiated (sole-source) orders in the value of construction orders received for the fiscal year under review reached 79%, giving the company a stable order base that is not dependent on competitive bidding.

In FY2026 (ending March 2026), the company received a 120-day business suspension order from the Kanto Regional Development Bureau of the Ministry of Land, Infrastructure, Transport and Tourism, causing net sales of completed construction contracts to fall 19.9% year on year to ¥28,631 million. However, gross profit on completed construction contracts was maintained at roughly the same level as the previous year thanks to improved profitability, and gross profit on product sales in the products sales segment increased 40.7% year on year. This demonstrated cost management capability that protected profits even amid declining sales.

At the end of FY2026 (ending March 2026), the equity ratio stood at 69.8% (up 9.6 percentage points from 60.2% in the previous fiscal year), and total net assets were ¥22,920 million. Investments were funded mainly from internal funds, and the fixed asset ratio was a healthy 64.9%. The company completed repayment of ¥2,800 million in short-term borrowings, and cash and cash equivalents increased to ¥6,394 million. The company has high financial soundness and resilience against deterioration in the external environment.

ENVALITH's Perspective

The business suspension order (120 days) issued by the Kanto Regional Bureau of the Ministry of Land, Infrastructure, Transport and Tourism on March 25, 2025, based on Article 28, Paragraph 3 of the Construction Business Act, directly hit orders received and sales in the construction segment, causing consolidated net sales to decline 16.6% year-on-year to ¥33,704 million. Meanwhile, ordinary profit was secured at ¥1,369 million, up 3.1% year-on-year, supported by improved profitability and solid performance in the products segment. For FY2027 (ending March 2027), the company forecasts net sales of ¥38,000 million (up 12.7% year-on-year), and whether recovery from the impact of the suspension order materializes will be the focal point for evaluation.

On May 11, 2026, the company announced a "Notice Regarding Revision of the Medium-Term Management Plan," revising its FY2027 (ending March 2027) plan in light of recent business trends and the intensification of geopolitical risks. External factors such as the Trump administration's tariff policy, the rise in crude oil prices due to the situation in the Middle East, and the nationwide decline in demand for asphalt mixture continue to serve as headwinds. As the details of the plan revision remain limited, additional information is needed to assess the certainty of achieving the medium-term plan targets.

The annual dividend for FY2026 (ending March 2026) is maintained at ¥80 (payout ratio of 56.5%, dividend on net assets ratio of 2.3%), with the same level forecast for FY2027 (ending March 2027). Against net assets per share of ¥3,654.41, the dividend yield depends on the stock price level, but improving capital efficiency amid a continued PBR below 1x is a matter of investor interest. The significant improvement in the equity ratio (from 60.2% to 69.8%) demonstrates financial soundness, but the question of how to utilize excess capital remains a point of focus.

Growth Strategy

Under the revised Medium-Term Management Plan, the company continues to pursue three key pillars: improving profitability, strengthening capital strategy, and promoting ESG initiatives

In the construction segment, the company thoroughly pursued profitability improvements, maintaining gross profit on completed construction contracts at the same level as the previous fiscal year. In the products sales segment, appropriate price pass-through and a review of manufacturing costs resulted in gross profit on products exceeding the same period of the previous fiscal year. The company targets net sales of ¥38,000 million and operating profit of ¥1,100 million for FY2027 (ending March 2027).

In FY2026 (ending March 2026), the company fully repaid short-term borrowings of ¥2,800 million, achieving a state of virtually no debt. The equity ratio improved to 69.8%. Meanwhile, the PBR has remained below 1x, and utilizing excess capital and improving capital efficiency remain ongoing challenges.

Under the theme of "Fostering a Culture of Transformation and Learning and Sustainability Initiatives" in the "Sato Watanabe Group Medium-Term Management Plan (FY2024–FY2026)," the company aims to balance the continuation of its 100-year corporate tradition with the ability to adapt to change. In light of recent business trends and shifts in geopolitical risk, the company announced a revision to its Medium-Term Management Plan on May 11, 2026.
