Governance

As a company with a board of company auditors, the company has appointed four internal directors and five outside directors (outside directors constituting a majority), with the Chairman serving as chairman of the Board of Directors to ensure mutual checks and balances with the President. The company has established a Nomination Committee, a Compensation Committee, a Sustainability Committee, and a Directors' Roundtable, building a governance structure with high transparency and objectivity.

Risk Management

A framework has been established whereby sustainability-related risks are reported from each responsible department through the specialized committee, the management planning committee, and the management meeting to the Board of Directors. The risk management status of each department is audited by the Board of Corporate Auditors and the Internal Control Audit Office, and individual regulations such as the Crisis Management Regulations, BCP, and Occupational Health and Safety Management System have also been established and are being operated.

Shareholder Returns

The basic policy is long-term stable dividends targeting a DOE of approximately 5%, with flexible implementation of share buybacks and other measures in addition to ordinary dividends. For FY2025, the interim dividend was ¥41 and the year-end dividend was ¥47 (total ¥88, DOE 5.1%, payout ratio 35.3%); the FY2026 forecast is an interim dividend of ¥47 and a year-end dividend of ¥47 (total ¥94).

Dividend Policy

The company maintains long-term stable ordinary dividends targeting a return on equity in the form of a DOE (dividend on equity ratio) of approximately 5%. In addition to ordinary dividends, shareholder returns are implemented flexibly through methods such as special dividends and share buybacks, depending on the required equity capital and profit levels (comprehensively judged based on profitability, financial condition, PBR, and other factors). The DOE target will be reviewed in line with the medium- to long-term improvement trend in profit levels. The annual dividend for FY2025 (ending March 2026) is ¥88 per share (interim ¥41, year-end ¥47), and the forecast for FY2026 (ending March 2027) is an annual dividend of ¥94 (interim ¥47, year-end ¥47).

Under the long-term vision 'Obayashi Sustainability Vision 2050,' the company is promoting ESG management, including endorsement and disclosure in line with TCFD and TNFD, obtaining SBT certification (targeting a 46.2% reduction in Scope 1+2 emissions by FY2030 versus FY2019), increasing the ZEB adoption rate, expanding renewable energy power generation, promoting diversity (targeting a 10% ratio of female managers by FY2030), conducting human rights due diligence, and implementing a wage increase of approximately 7.5% in April 2026, among other multifaceted initiatives.
