Governance
The company has a Board of Corporate Auditors. The Board of Directors consists of 7 directors (including 2 outside directors, an outside ratio of approximately 28.6%), and the Board of Corporate Auditors consists of 3 auditors (including 2 outside auditors). The Board of Directors meets 7 times per year, with all members maintaining high attendance rates. An executive officer system has also been introduced.
Risk Management
The company has established a system to prevent legal violation risks through its corporate group code of conduct and business activity compliance standards, minimize losses through business-related regulations, and designate a responsible officer via the Board of Directors in the event of sudden risk occurrences. Risk identification and assessment are conducted at the monthly ISO Promotion Committee and Health and Safety Committee meetings, with reporting and response handled as needed at daily early-morning meetings or the semi-annual ISO Management Committee.
Shareholder Returns
The company maintains a policy of stable dividends as its basic principle, giving weight to internal reserves while taking business performance and the payout ratio into consideration. For the time being, it will pay dividends once a year at fiscal year-end, and for the 85th fiscal period a year-end dividend of ¥30 per share (ordinary dividend) is planned. Treasury stock repurchases can be carried out based on a resolution of the Board of Directors under the Articles of Incorporation.
Dividend Policy
The basic policy is stable dividends, implemented after taking into account business performance and the payout ratio. Weight is also placed on internal reserves in order to strengthen the company's financial position. While the business environment remains challenging, dividends will be paid once a year at fiscal year-end, and for the 85th fiscal period (FY2025, ending March 2025), a year-end dividend of ¥30 per share is planned (total dividends of ¥219,161 thousand).
ESG
On the environmental front, the company is working on waste sorting, anti-idling measures, CO2 reduction, and other initiatives through its ISO Promotion Committee. On the human capital front, it is promoting diversity (19 women, 11 Vietnamese employees, and 10 managers hired mid-career) and work-style reforms. While some quantitative ESG targets remain unset in consideration of the company's size, a monthly management reporting system has been established.
