Key Positives From The 3Q Results
Core monthly advisory consulting grew +9.2% on higher contract pricing and a larger client base, expanding the recurring revenue base that now accounts for more than half of revenue. Excluding logistics BPO, which is being deliberately scaled back, revenue rose +8.6% (our estimate). Underlying growth in consulting therefore exceeds the headline 4.5% top-line increase.
- Monthly Advisory: Revenue of JPY 14,168M (+9.2% YoY), or 55.3% of the total (our estimate). Growth was driven by both price increases and client additions.
- M&A And Projects: M&A revenue jumped +57.9% YoY on large deal closings, and project revenue rose +12.2%. This points to expansion in high-value-added areas, including mid-sized corporate clients.
- Gross Profit Margin: Improved to 39.0% (+0.4pt, our estimate) as low-margin logistics BPO shrank. The revenue mix is shifting toward higher-quality business.
- Net Income: Quarterly net income attributable to owners of parent company rose to JPY 3,992M (+54.4%), lapping a JPY 2,433M impairment loss in the prior year. EPS expanded to JPY 43.54.
- Shareholder Returns: The annual dividend forecast of JPY 48 implies +12.9% YoY on a split-adjusted basis (our estimate). A share buyback was approved the same day, underscoring a stronger commitment to shareholder returns.
Key Concerns From The 3Q Results
Upfront investment in human capital, M&A and offices pushed SG&A up +28.2%, far outpacing revenue growth. Operating income margin fell to 23.5% (-2.5pt). The order backlog for monthly advisory and projects declined -8.7%. The key question is whether top-line acceleration can be sustained as these investments move into the payback phase.
- 3Q Standalone Profit: 3Q standalone (Jul–Sep) operating income was JPY 1,280M (-24.1%, our estimate). This marks a sharp reversal from slight profit growth in 1H, with the decline widening.
- Orders: Order intake was JPY 16,725M (-2.2%) and the order backlog JPY 9,581M (-8.7%). Leading indicators for monthly advisory are showing signs of slowing.
- Fixed Costs: Depreciation rose +52.2% YoY and goodwill amortization +74.9%. Higher fixed costs from office investment and M&A will continue to weigh on profits.
- Advertising Management And M&A Volatility: Advertising management revenue declined -8.2% YoY. M&A revenue is sensitive to deal closing timing, so slippage could cause earnings volatility.
- Extraordinary Losses: The company booked JPY 277M in extraordinary losses, including JPY 182M of office relocation expenses. One-off costs from the office reorganization are ongoing.
Focus Areas / Items To Monitor Going Forward
- 4Q Hurdle: Meeting the full-year operating income plan requires 4Q standalone growth of +26.3% YoY (our estimate). The focus is on the timing of large M&A deal closings and contributions from newly acquired companies such as MTUS.
- Backlog Impact: We will watch whether the backlog decline feeds into slower monthly advisory growth. Next quarter's order trends should show whether price increases and client additions are sustainable.
- Mid-Term Plan: Key items are the ramp-up of mid-sized corporate consulting and AX/DX under the Medium-Term Management Plan (2026–2028), and the timing of payback on upfront investment.
- Drivers of the declines in order intake and order backlog, and their expected impact on next year's monthly advisory revenue
- Assumptions underpinning the 4Q-weighted full-year plan, and the status of the large M&A deal pipeline
- Breakdown of the SG&A increase (personnel, M&A-related and office costs), and when cost growth is expected to peak
- Allottee and rationale for the third-party allotment disposal of treasury shares (2,196,000 shares), and how it fits with the current share buyback
- Expected completion of the logistics BPO wind-down, and anticipated earnings contributions from acquired companies such as Logicreate and MTUS

- SG&A Ratio: Rose to 15.5% (+2.9pt, our estimate). Aggressive investment in human capital, M&A and offices outweighed the benefit of higher revenue and was the main cause of the operating income decline.
- Non-Operating Income: Boosted by interest income of JPY 70M (prior year: JPY 21M) and JPY 82M of insurance surrender proceeds. As a result, the decline in recurring profit was narrower than at the operating level.
- Basis Of Presentation: EPS is restated retroactively from the start of the prior fiscal year for the 2-for-1 stock split effective January 1, 2026. Order data cover only consulting revenue such as monthly advisory and projects.
Performance By Business Segment
From 1Q, the company moved to a single "Management Consulting Business" segment. The former Logistics and Digital Solutions businesses were consolidated in line with a policy of driving both primarily through consulting. In the revenue breakdown, the four consulting-related categories (excluding logistics BPO) totaled JPY 20,801M (+11.4%, our estimate) and led company-wide growth.
Segment Performance Table
| Segment | Revenue | YoY | Operating Income | YoY | Margin |
|---|---|---|---|---|---|
| Management Consulting Business | JPY 25,640M | +4.5% | JPY 6,016M | -5.6% | 23.5% |
- Monthly Advisory: Revenue grew on higher contract pricing and client growth. The +JPY 1,193M increase (our estimate) was the largest contributor to company-wide revenue growth.
- M&A: JPY 1,263M (+57.9%), driven by large deal closings. In September, the company formed a business succession fund joint venture with Japan Asia Investment.
- Projects: JPY 2,839M (+12.2%). The company is building out its thematic consulting capabilities, including consolidating human capital management support into a subsidiary and strengthening SCM support.
- Management Study Group Membership Fees: JPY 2,529M (+7.3%), driven by membership growth. The groups also serve as a client funnel into monthly advisory.
- Logistics BPO: JPY 1,815M (-30.0%), reflecting a deliberate revenue reduction. The -JPY 778M decline (our estimate) weighed on company-wide revenue growth.
- Advertising Management: JPY 1,824M (-8.2%). Clients likely curbed advertising budgets amid a tough operating environment, including SMEs' slow pass-through of cost increases.
- Other: JPY 1,198M (-7.4%)
Progress Versus Full-Year Guidance
Operating income progress of 66.1% trails the 72.3% recorded in the prior-year period (vs. full-year actual, our estimate). Achieving the plan requires 4Q standalone revenue of JPY 11,360M (+29.2%) and operating income of JPY 3,084M (+26.3%), both our estimates. 4Q operating income was only JPY 2,379–2,442M over the past two years. Large M&A deal closings and contributions from newly consolidated subsidiaries are therefore key to delivering the plan.
| Item | Value (9M Cumulative) | Full-Year Forecast | Progress Rate |
|---|---|---|---|
| Revenue | JPY 25,640M | JPY 37,000M | 69.3% |
| Operating Income | JPY 6,016M | JPY 9,100M | 66.1% |
| Recurring Profit | JPY 6,225M | JPY 9,100M | 68.4% |
| Net Income | JPY 3,992M | JPY 6,550M | 60.9% |
Changes To Guidance
The full-year plan is unchanged: revenue of JPY 37,000M, operating income of JPY 9,100M, net income of JPY 6,550M and EPS of JPY 72.07. Despite the 9M operating income decline (-5.6%), the plan calls for full-year operating income growth (+3.3%), which assumes a 4Q catch-up.
Commentary On Shareholder Returns
- Dividend: The FY12/2026 annual dividend forecast is unchanged at JPY 48 (interim JPY 24, year-end JPY 24). This is an increase from the split-adjusted prior-year dividend of JPY 42.50.
- Payout Ratio: The payout ratio is high at 66.6% of forecast EPS of JPY 72.07 (our estimate).
- Share Buyback And Treasury Shares: The board approved a share buyback on November 6, 2026 (a significant subsequent event). In July, the company disposed of 2,196,000 treasury shares via third-party allotment (treasury shares -JPY 2,316M).
Financial Position
The company is effectively debt-free, with cash and deposits of JPY 17,040M against interest-bearing debt of JPY 289M. The equity ratio rose to 75.8% (+3.4pt). The drawdown of construction in progress and the increase in buildings suggest the office investment cycle is nearing completion.
